Terms of Service
These Terms of Service (the "Terms"; together with any applicable Supplemental Terms, collectively the "Agreement") shall govern the relationship between Deep Analysis Pte. Ltd. (the "Company", "we", "us", "our") and the entity or individual (the "User", "you", "your") that uses or accesses ClawTeams, together with any associated software applications and websites (collectively the "Services").
ClawTeams is a multi-agent coordination platform that enables Users to configure roles, deploy autonomous and semi-autonomous AI agents, author and distribute reusable skill packages, and coordinate work across teams of agents and human reviewers. By their nature, the Services may execute tasks, invoke tools, and interact with third-party systems on your behalf.
By accessing or using the Services in any manner, you represent and warrant that: (1) You have read, understood, and agree to be bound by this Agreement; (2) You have reached the legal age to enter into a binding contract; (3) You are not prohibited by law from using the Services; (4) You have the authority to enter into this Agreement on your own behalf or on behalf of your entity.
You must be at least 18 years old to use the Services.
1. Artificial Intelligence (AI) and Autonomous Agent Disclaimer
1.1 Basic Understanding and Responsibility
You acknowledge that your interactions with the Services involve AI systems, including AI agents that may operate autonomously or semi-autonomously to plan, decide, and execute multi-step tasks on your behalf. AI systems are built on probabilistic models, which may lead to misunderstandings or errors. The Company shall not bear liability for any misunderstandings, inaccuracies, or actions arising from the AI or from autonomous agent execution.
1.2 User Responsibilities
- You are responsible for independently reviewing all Output and for supervising the actions taken by agents you configure or run.
- You shall exercise your own judgment before relying on any Output or before authorizing an agent to act.
- You bear full responsibility for monitoring and approving the use of any Output.
- You assume liability for any decisions, actions, or omissions made by you or by agents operating under your account.
1.3 Inherent Limitations of AI and Agent Functionality
- Output and agent actions may contain errors, be incomplete, or be inaccurate.
- Agents may misinterpret instructions, take unintended actions, or chain errors across multiple steps.
- AI-generated Output may perpetuate biases present in its training data.
- Coordination among multiple agents may produce emergent behavior that is difficult to predict.
2. Access to and Use of the Services
2.1 Access Rights
Subject to compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services solely for your personal or internal business purposes. The Company reserves the right to modify, suspend, or terminate any part of the Services at any time without prior notice.
2.2 Account Responsibilities
To access the Services, you must complete account registration and ensure that all information you provide is accurate, up-to-date, and complete. Your login credentials must be kept confidential, and you are responsible for all activities conducted under your account, including all actions taken by agents you have configured, deployed, or authorized.
2.3 Teams, Roles, and Coordination
The Services allow you to create or join teams, assign roles, and coordinate work among multiple agents and human members. Where you act as an administrator, team leader, or organization owner, you are responsible for the roles, permissions, and access you grant.
2.4 Agent Authorization, Oversight, and Responsibility
By configuring, deploying, or running an agent, you expressly authorize the Company and its agents to perform actions on your behalf, including invoking tools, executing tasks, and accessing third-party services you have connected. All actions taken by agents under your account are at your sole risk and expense.
2.5 Prohibited Conduct
You shall not (and shall not permit any third party or agent you operate to):
- Sell, rent, lease, or commercially exploit the Services except as expressly permitted.
- Use framing techniques to enclose any trademark, logo, or other portion of the Services.
- Modify, disassemble, decompile, or reverse-engineer any part of the Services.
- Use automated tools to scrape data from the Services except through interfaces we provide.
- Impersonate any person or entity, or configure an agent to misrepresent that it is a human.
- Configure agents to perform unauthorized access, denial-of-service, mass unsolicited messaging, fraud, or surveillance.
- Interfere with the proper operation of the Services or introduce viruses or harmful code.
3. Ordering and Fees
3.1 Third-Party Payment Processors
The Company engages Airwallex as its third-party service provider for payment-related services.
3.2 Payment and Order Processing
You shall pay all fees owed to your account in accordance with the billing terms in effect when the fees become due. By providing payment information, you authorize the Company and/or the Payment Processor to immediately invoice your account for all fees owed.
3.3 Taxes
Fees do not include any Sales Tax that may be due. If the Company determines a legal obligation to collect Sales Tax from you, it shall collect such tax in addition to the fees.
3.4 Currency
All fees are denominated and payable in United States dollars (USD), unless otherwise stated. You are solely responsible for any foreign exchange conversion or handling fees imposed by your bank or card issuer.
4. Subscriptions, Credits, and Refund Policy
4.1 Subscription Management
Access to the Services requires an active paid subscription. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. When you cancel, your subscription remains active until the end of the current billing period.
4.2 Billing Information and Pricing Changes
You must provide accurate and complete billing information and keep it current. The Company reserves the right to modify its prices at any time. Changes apply prospectively and do not retroactively affect amounts already paid.
4.3 Credits
The Services use a credit-based system to meter usage. Credits are obtained through Top-Ups and may also be earned through promotions. Credit consumption rates may vary based on the type of Service accessed, complexity, model tier, and other factors.
- Plan Credits: Included with your subscription, valid only for the billing period in which they are granted and do not roll over.
- Purchased Credits: Expire twelve (12) months after purchase if not used. All Credit purchases are final and non-refundable except as required by law.
Credits have no cash value, are not transferable, and cannot be resold, withdrawn, or exchanged.
4.4 Refund Policy
Subscription fees and Purchased Credits are generally non-refundable except as required by applicable law. If your refund request is approved, the refund will be calculated based on the proportion of unused Credits. Refunds will be returned via the original payment method within 1 to 15 business days.
5. Artificial Intelligence, Agents, Skills, and Content
5.1 Your Responsibility
You are solely responsible for all Input that you upload or make available through the Services, including the configuration of any agent, role, team, skill, or workflow. All Output is provided "as is" and "with all faults," and the Company makes no representations or warranties with respect to any Input or Output.
5.2 Content Ownership
The Company does not assert ownership rights over any Input or Output. As between you and the Company, you retain all right, title, and interest in and to Your Content. You acknowledge that Output may not be unique to you and may not be protected by intellectual property rights.
5.3 License Grant
You grant the Company a non-exclusive, worldwide, royalty-free license to use Your Content to provide and operate the Services, and to use Your Content in aggregated form to improve the Services and create Usage Data.
5.4 Skills, Roles, and Distribution
If you choose to publish or distribute Shared Content, you represent that you have all rights necessary to do so and that it does not infringe any third party's rights. If you use Shared Content authored by others, you do so at your own risk.
5.5 AI Services
The Company provides features that leverage third-party AI platforms. By using these features, you consent to the Company sharing your Content with third-party providers of AI Services. You assume all risks associated with using AI Services.
5.6 Content Restrictions
You shall not share Content that is unlawful, threatening, abusive, defamatory, fraudulent, or that infringes any third party's rights. You shall not configure agents to perform unauthorized access, denial-of-service, spam, fraud, or surveillance.
6. Intellectual Property
6.1 Ownership
The Company retains all right, title, and interest in and to the Services (including the coordination platform, agent execution runtime, skill framework), any improvements or enhancements, and all Intellectual Property Rights therein. "ClawTeams", "Deep Analysis", "ClawHub", and all related logos are trademarks of the Company.
6.2 Third-Party Intellectual Property
The Services may include intellectual property owned by third parties, licensed under separate terms. The Company shall not be responsible for third-party intellectual property.
6.3 Feedback
Any ideas, suggestions, or proposals you submit to the Company are submitted at your own risk. You grant the Company a fully paid, royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, and commercially exploit such Feedback.
7. Term and Termination
This Agreement remains in effect for as long as you use the Services. The Company may suspend or terminate your access immediately if you materially breach any provision of this Agreement or if required by law. Upon termination, your right to use the Services automatically terminates, agents may be stopped, and the Company may delete Your Content.
8. Privacy
The Company acts as a data controller when processing your personal information for providing the Services and managing your relationship with us. See our Privacy Policy for details on how we collect and use personal information.
9. Disclaimer of Warranties
The Services are provided "as is" and "as available," with all faults. The Company expressly disclaims all warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company does not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any Output will be accurate or reliable.
10. Indemnification
You shall indemnify and hold the Company harmless from and against any losses, costs, liabilities, and expenses arising from: your use of the Services; the configuration or operation of any agent under your account; any Shared Content you publish; your violation of this Agreement; and your violation of any rights of another party or applicable laws.
11. Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for consequential, indirect, special, incidental, or punitive damages, or loss of profits, business, or revenue. The total aggregate liability of the Company shall not exceed the total amount you actually paid to the Company in the three (3) months prior to the event giving rise to liability.
12. Dispute Resolution and Legal Terms
12.1 Governing Law
These Terms shall be governed by the laws of Singapore.
12.2 Dispute Resolution
If you have any concerns or disputes regarding the Services, you agree to first attempt to resolve the dispute informally by contacting the Company.
12.3 Specific User Terms
If you are a consumer in the UK or EU, you shall benefit from any mandatory provisions of the law of your country of residence. For U.S. federal government end users, the Services shall be deemed a "commercial item" as defined in 48 C.F.R. §2.101.
12.4 Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
12.5 Modifications to the Agreement
The Company may modify these Terms at any time. Changes take effect immediately for Users without an account, and thirty (30) days after posting for Users with an account. If you do not agree to changes after receiving notice, you shall cease using the Services.
